THE TERMS AND CONDITIONS OF SALE ARE LIMITED TO THOSE CONTAINED HEREIN. ANY ADDITIONAL OR DIFFERENT TERMS IN ANY FORMS DELIVERED BY YOU ARE HEREBY DEEMED TO BE MATERIAL ALTERATIONS AND NOTICE OF OBJECTION TO THEM AND REJECTION OF THEM IS HEREBY GIVEN.

BY ACCEPTING DELIVERY OF THE PRODUCTS AND SERVICES DESCRIBED IN THE SEIMITSU INVOICE OR OTHER SEIMITSU DOCUMENTATION, YOU AGREE TO BE BOUND BY AND ACCEPT THESE TERMS AND CONDITIONS OF SALE UNLESS YOU AND YOURUPLINK INCORPORATED HAVE SIGNED A SEPARATE AGREEMENT, IN WHICH CASE THE SEPARATE AGREEMENT WILL GOVERN.

Important Information about These Terms and Conditions of Sale
These terms and conditions of sale constitute a binding contract between you and Seimitsu.com. You accept these terms and conditions of sale by making a purchase, placing an order or otherwise shopping on the Seimitsu.com Website (the "eShop"). These terms and conditions of sale are subject to change without prior notice, except that the terms and conditions of sale posted on the Site at the time. You initially place or modify an order will govern the order in question.

These terms and conditions of sale constitute the entire agreement between you and SEIMITSU relating to the terms and conditions of sale of products and services on the Site. You consent to receiving electronic records, which may be provided via a Web browser or e-mail application connected to the Internet; individual consumers may withdraw consent to receiving electronic records or have the record provided in non-electronic form by contacting SEIMITSU at the address provided below:

You may issue a purchase order for administrative purposes only. Additional or different terms and conditions contained in any such purchase order will be null and void. You agree that the terms and conditions of sale contained herein and in SEIMITSU invoice or other documentation will control. No course of prior dealings between the parties and no usage of trade will be relevant to determine the meaning of these terms and conditions of sale or any purchase order or invoice related thereto.

Pricing Information, Availability Disclaimer
All pricing is subject to change. SEIMITSU reserves the right to make adjustments to pricing, products and service offerings for reasons including, but not limited to, changing market conditions, product discontinuation, product unavailability, manufacturer price changes, and errors in advertisements. All orders are subject to product availability. Therefore, SEIMITSU cannot guarantee that it will be able to fulfill your orders.

Shipping Policy:

• Please allow 1-3 business days for order processing.Your receipt of an electronic or other form of order confirmation does not signify neither our acceptance of your order, nor does it constitute confirmation of our offer to sell.SEIMITSU reserves the right at any time after receipt of your order to accept or decline your order for any reason.

• We will immediately being reviewing your order.Your order will not be shipped until your payment is verified.In some cases, this may delay shipping.We may require additional verification or information before accepting any order.

• All orders are subject to final approval by our Customer Service Department. We may contact you regarding adjustments to your order, this includes, but is not limited to, tax and shipping, which you will be informed of prior billing.The charges at this point may not be final.

• Once the order has been processed, all stock items will ship within 24-72 hours.We do not ship on Saturdays or Sundays.Orders placed after 5 p.m. on Friday will be processed the following Monday.Due to shipping restrictions, we cannot ship to P.O. boxes.

Standard Delivery:
We will process your order and deliver your package within 10 business days.

Express Delivery:
This option is only available in the United States.We cannot ship packages using 2-day or overnight delivery to APO/FPO addresses.We do not provide Saturday or Sunday delivery.Orders placed after 3 p.m. will be processed the following business day.

2-Day Delivery:
Please allow 3-4 business days for processing and delivery of your order. (For example, if you place an order on Friday, you will receive your package 3-4 business days later, on Wednesday/Thursday.)

Overnight Delivery:
Please allow 2-3 business days for processing and delivery of your order.(For example, if you place an order on Friday, you will receive your package 2-3 business days later, on Tuesday/Wednesday.)

Delivery of Oversized Items:
Please allow 10-15 business days for processing and delivery of your order.There may be additional shipping and/or freight charges incurred on your order depending on the size and weight of the item you ordered.

International Shipping:
We can ship to most countries around the world except to Brazil, Venezuela, Guatemala, Nigeria and Zanzibar due to customs issues.

Estimated Delivery Time:
We estimate that any order to international locations will take 15 business days.While we cannot guarantee a delivery date, we estimate that all orders will be shipped from our warehouse within 48 hours.From there, UPS estimates deliveries of 3-4 business days to customs and 2-3 business days for delivery after customs.We cannot estimate the time it will take customs to process your package.We recommend that you contact your local customs office for details on custom times and possible delays.

Customs & Duties:
Customs and import duties are charged to you once the package reaches the destination country.They are your sole responsibility, and will vary from country to country.If you choose to refuse shipment due to customs and import duties, we cannot refund the merchandise purchase price.Furthermore, you accept all responsibility for following up with local postal services and customs once delivered to the destination country.

Shipping Method:
We ship all international orders via FedEx.  We require a physical address to ship orders to international destinations and cannot accept P.O. Box addresses.

Backordered & Out-of-Stock Items:
Occasionally we have out-of-stock and/or back-ordered items.  We do not ship partial shipments.  We will attempt to contact you within 72 hours of receiving the order regarding any item that is out of stock or backordered.  If we do not hear back from you, we will substitute a similar item from our warehouse or credit you for the item.

Canceling Orders
Once placed, your order is processed right away. For that reason, it is possible -- depending on how much time has elapsed since you placed your order -- that we have already shipped the product to you. In that case, you may need to return it to us. See our Return Privileges policy below.

Title, Risk of Loss
If you provide Seimitsu.com with your carrier account number or select a carrier other than a carrier that regularly ships for Seimitsu.com, title to products and risk of loss or damage during shipment passes from SEIMITSU to you upon shipment from SEIMITSU. For all other shipments, title to products and risk of loss or damage during shipment passes from Seimitsu.com to you upon receipt by you. Title to software will remain with the applicable licensor(s). Seimitsu.com retains a security interest in the products until payment in full is received. You will be responsible for all shipping and related charges.

Export Sales
If this transaction involves an export under the Export Administration Regulations, the commodities, technology, and/or software sold or distributed under these terms and conditions of sale exported from the United States by SEIMITSU were exported in accordance with the Export Administration Regulations. Diversion, use, export or re-export contrary to United States law is prohibited. The commodities, technology, and/or software sold or distributed under these terms and conditions of sale may not be exported or re-exported to Cuba, Iran, Iraq, Libya, Sudan, North Korea, or Syria or to entities and persons that are ineligible under United States law to receive United States commodities, technology, and/or software. In addition, manufacturers' warranties for exported products may vary or may be null and void for products exported outside the United States.

Warranties
You understand that SEIMITSU is not the manufacturer of the products purchased by you hereunder and the only warranties offered are those of the manufacturer, not SEIMITSU. In purchasing the products, you are relying on the manufacturer's specifications only and are not relying on any statements, specifications in brochures, photographs or other illustrations representing the products that may be provided by SEIMITSU. In connection with services, neither affiliate of SEIMITSU nor third party service providers are agents of SEIMITSU, which has no obligation or liability arising from any services performed by or any warranty, if any, made by, such service providers. SEIMITSU and its affiliates hereby expressly disclaim all warranties either express or implied, without limitation, any warranty of merchantability or fitness for a particular purpose.This disclaimer does not affect the terms of the manufacturer's warranty, if any.

Internet Disclaimer
Internet connectivity requires access services from an Internet access provider. Contact your local access provider for details.

Limitation of Liability
NEITHER SEIMITSU NOR ITS AFFILIATES WILL BE LIABLE FOR LOST PROFITS, LOSS OF BUSINESS OR OTHER CONSEQUENTIAL, SPECIAL, INDIRECT OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY. NEITHER SEIMITSU NOR ITS AFFILIATES WILL BE LIABLE FOR PRODUCTS NOT BEING AVAILABLE FOR USE OR FOR LOST OR CORRUPTED DATA OR SOFTWARE OR THE PROVISION OF SERVICES BY THIRD PARTIES. CUSTOMER AGREES THAT FOR ANY LIABILITY RELATED TO THE PURCHASE OF PRODUCTS OR SERVICES PROVIDED DIRECTLY BY SEIMITSU OR ITS AFFILIATES, NEITHER SEIMITSU NOR ITS AFFILIATES ARE LIABLE OR RESPONSIBLE FOR ANY AMOUNT OF DAMAGES ABOVE THE DOLLAR AMOUNT PAID BY CUSTOMER FOR THE PRODUCTS OR SERVICES GIVING RISE TO THE CLAIM.

SEIMITSU will not be responsible for any delays in delivery which result from any circumstances beyond its control including, but without limitation to, product unavailability, carrier delays, delays due to fire, severe weather conditions, failure of power, labor problems, acts of war, terrorism, general insurrection, acts of God or acts of any government or agency.

Third Party Services
You acknowledge and agree that, in some instances, SEIMITSU, and their affiliates are resellers of services and are not the provider of those services. In those cases, the third party service provider is the only party responsible for providing services to you. In those cases, you will look solely to the third party service provider for any loss, claims or damages arising from or relating to the purchase or provision of such services. You hereby release SEIMITSU, and their affiliates from any and all claims arising from or relating to the purchase or provision of any such services by third party service providers. Services may be subject to tax. All amounts, including taxes, associated with third party services are being collected by SEIMITSU on behalf of SEIMISU Corporation solely in the capacity as an independent sales agent.

Orders, Payment Terms, Interest, Taxes
Orders are not binding upon SEIMISU until accepted by SEIMISU. Terms of payment are within the sole discretion of SEIMISU. Invoices are due and payable within the time period specified on the invoice, measured from the date of invoice. SEIMISU may invoice parts of an order separately. You agree to pay interest on all past-due sums at the lower of one and one-half percent (1.5%) per month or at the highest rate allowed by law. You are responsible for, and will indemnify and hold SEIMISU harmless from, any applicable sales, use or other taxes associated with the order. You must claim any exemption from tax at the time of purchase and provide the necessary supporting documentation. Any sales, use or other applicable tax is based on the location to which the order is shipped. In the event of a payment default, you will be responsible for all of SEIMISU costs of collection, including court costs, filing fees and attorney fees.

Return Privileges

• Please contact SEIMISU Customer Service at customerservice@seimitsu.com  to obtain a Return Merchandise Authorization (RMA) before shipping product back to SEIMISU. This will expedite and help ensure the proper action or credit upon processing.
• In order to expedite a return, please have the following information on hand when requesting an RMA number: your name, invoice number, serial number, reason for return, action to take (replacement/repair/return/credit), and whether the box has been opened or is manufacturer sealed.
• Please return all products 100% complete including all original manufacturer boxes with the UPC code and packing materials, all manuals, blank warranty cards, accessories and any other documentation included with the original shipment. RMA approval is contingent upon, among other things, the products being 100% complete.
• You are responsible for shipping charges to SEIMISU distribution center for all products being shipped for return, exchange or replacement.
• A 20% restocking fee will be applied to all returned orders.
• You are responsible for all risk of loss and damage to products being shipped for return, exchange or replacement. Please fully insure return shipment in case of loss or damage. Please use a carrier that is able to provide you with proof of delivery such as UPS, Federal Express or Airborne Express. This is for your protection as well as to ensure quick action on your return.
• Return privileges vary by manufacturer. Please contact SEIMISU Customer Service at customerservice@seimitsu.com for details.
